Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Epistemika platform, a product developed by RetailBricks.com and operated by Dennis Price (ABN 35 109 205 014), NSW, Australia (“Epistemika”, “we”, “us”, or “our”). By registering an account or using the platform you agree to be bound by these Terms. If you do not agree, do not use the platform.
1. Definitions
In these Terms the following definitions apply:
- Platform — the Epistemika software-as-a-service product accessible at epistemika.com and any associated subdomains.
- Tenant — an individual or organisation that has registered a school or academy on the Platform.
- Tenant Admin / Platform Admin — a user with administrative access to a Tenant's school, able to create courses and manage students.
- Instructor — a user who has completed the Instructor Academy and is authorised to create courses within a Tenant's school.
- Student — a user enrolled in one or more courses within a Tenant's school.
- God Admin — Epistemika platform-level administrators with full system access.
- Active Student (MAU) — defined in Section 6 below.
- Paddle — our authorised payment processor and Merchant of Record for platform subscription billing.
- Stripe Connect — third-party payment infrastructure used by Tenants who sell courses to their Students directly.
2. Eligibility
2.1 Tenant eligibility
To register as a Tenant you must be at least 18 years of age and have the legal capacity to enter into a binding contract. By registering, you represent that you meet these requirements.
2.2 Student age
The Platform may be used by Students under the age of 18 only where the Tenant has obtained all legally required consents (including parental or guardian consent where applicable under local law). Epistemika bears no responsibility for verifying Student age. This obligation rests entirely with the Tenant. Tenants who permit minors to access the Platform must implement appropriate safeguards and comply with COPPA, GDPR Article 8, and any other applicable laws governing the processing of children's data.
2.3 Geographic restrictions
The Platform is available globally. Tenants are responsible for ensuring their use of the Platform complies with the laws of their jurisdiction, including data protection, consumer protection, and educational licensing requirements.
3. Accounts & Registration
3.1 Account security
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at drdennisprice@gmail.com if you suspect unauthorised access.
3.2 Accurate information
You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate.
3.3 One account per tenant
Each legal entity or individual may register only one Tenant account. Creating multiple accounts to circumvent billing limits is grounds for immediate termination.
3.4 Subdomain assignment
Upon registration your school is assigned a subdomain (e.g. yourschool.epistemika.com). Subdomains are allocated on a first-come, first-served basis. We reserve the right to reclaim subdomains that infringe trademarks or violate these Terms.
4. Free Trial
New Tenant accounts are eligible for a 14-day free trial. During the trial period:
- No payment method is required to start the trial.
- All features of your selected plan are available.
- The Active Student limit of your selected plan applies.
- At the end of the trial, you must subscribe via Paddle Checkout to continue. Accounts that have not subscribed will be suspended (data retained for 30 days, then deleted).
- Each individual or organisation is entitled to one free trial. Creating a new account to obtain an additional trial constitutes a breach of these Terms.
5. Billing & Pricing
5.1 Pricing model
The Platform is billed on a hybrid model: a fixed monthly base fee plus a per-student variable component based on Monthly Active Students (MAU):
Base fee: $29 USD / month
Included: First 5 Active Students at no additional charge
Variable: $2 USD / Active Student / month (beyond the first 5)
Example: A Tenant with 50 Active Students in a month pays $29 + (45 × $2) = $119 for that month.
5.2 Billing cycle
Billing is monthly. The base fee is charged in advance on the 1st of each month. The variable MAU charge for the preceding month is calculated by our automated reporting system (via Inngest cron) and applied as a subscription modifier via Paddle on the 1st of each subsequent month.
5.3 Merchant of Record
All platform subscription payments are processed by Paddle, who acts as the Merchant of Record. Paddle handles VAT, GST, and other applicable taxes on our behalf. Your invoice will be issued by Paddle. By subscribing you also agree to Paddle's terms of service.
5.4 Price changes
We reserve the right to change pricing with 30 days' written notice. Continued use after the effective date of a price change constitutes acceptance of the new pricing. You may cancel before the effective date without penalty.
5.5 Non-payment
If payment fails, Paddle will retry per its standard retry schedule. After 7 days of non-payment, your account will be downgraded to read-only (Students cannot complete new sessions; courses remain viewable). After 30 days, the account will be suspended. Data is retained for 60 days after suspension before permanent deletion.
5.6 Refunds
Monthly subscription fees are non-refundable except where required by applicable law. If you believe a billing error has occurred, contact drdennisprice@gmail.com within 30 days of the charge.
5.7 Tenant–Student payments
Tenants who charge their Students for courses do so via Stripe Connect. In this flow the Tenant is the Merchant of Record for their Students, not Epistemika. Epistemika takes no commission on course sales. Tenants are solely responsible for their own pricing, refund policy, and tax obligations to their Students.
5.8 Inference cost safeguard
The variable $2 USD/MAU fee is set to cover average AI inference costs with reasonable margin. In exceptional cases where a Tenant's inference usage materially exceeds the average (e.g. courses with an unusually high number of dialogue nodes per student or an average session length exceeding 30 turns), Epistemika reserves the right to contact the Tenant to discuss a custom pricing arrangement. We will provide at least 14 days' notice before any such adjustment takes effect.
6. Active Student Definition (MAU)
6.1 Definition
An “Active Student” for billing purposes is any unique Student account associated with a Tenant that completes at least one dialogue session turn within the calendar month. A Student who is enrolled in a course but does not interact with any dialogue session during the month is not counted as Active and is not billed.
6.2 Measurement
Active Student counts are recorded automatically in the mau_billing_events table. Each unique Student ID is counted once per calendar month regardless of how many sessions they complete. Tenants can view their current-month active count in the analytics dashboard.
6.3 Included Students
The first 5 Active Students in any given month are included in the base fee and are not subject to the variable rate. Billing for variable students begins from the 6th Active Student.
6.4 Test accounts
Student accounts created by the Tenant Admin or Instructors for testing purposes and marked as internal test accounts in the dashboard are excluded from MAU counting. A Tenant may have up to 3 internal test accounts at any time.
6.5 Disputes
If you believe your MAU count is incorrect, contact drdennisprice@gmail.com within 10 days of receiving your invoice. We will provide a breakdown of recorded events. Errors in our favour will be credited to your next invoice.
7. Acceptable Use
You agree not to use the Platform to:
- Violate any applicable law or regulation.
- Upload, transmit, or generate content that is defamatory, obscene, threatening, or infringes any third-party rights.
- Attempt to reverse-engineer, decompile, or extract the source code of the Platform.
- Circumvent usage limits, billing controls, or access restrictions.
- Use the AI dialogue system to elicit harmful, discriminatory, or illegal content.
- Collect or harvest data about other users without their consent.
- Use automated bots, scrapers, or scripts against the Platform without written permission.
- Misrepresent affiliation with Epistemika or impersonate any person or entity.
We reserve the right to suspend or terminate accounts that breach these restrictions without notice where necessary to protect the safety of users or the integrity of the Platform.
8. AI & Dialogue Limitations
8.1 Not a substitute for professional advice
The AI dialogue system is designed to facilitate Socratic learning. It is not a substitute for professional advice — legal, medical, psychological, financial, or otherwise. Instructors must not design dialogue nodes that invite Students to seek or act on advice in these domains without appropriate disclaimers.
8.2 AI may produce errors
Large language models can produce inaccurate, outdated, or hallucinated content. Instructors are responsible for reviewing AI-generated content and ensuring it is appropriate and accurate for their course subject matter. Epistemika makes no warranty as to the accuracy of AI responses.
8.3 No guaranteed outcomes
Epistemika does not warrant that use of the Platform will result in any particular learning outcome, grade, certification, or qualification for any Student.
8.4 Model changes
We reserve the right to change the underlying AI model(s) used by the Platform at any time. We will endeavour to maintain equivalent quality but do not guarantee identical responses across model versions.
8.5 Content responsibility
Instructors and Tenants are responsible for the pedagogical content they configure — opening questions, pass conditions, checkpoint criteria, and content injection nodes. Epistemika is not liable for the educational quality or suitability of Tenant-created course content.
9. Safeguarding & Crisis Detection
9.1 Automated detection
The Platform includes an automated safeguarding system that monitors Student dialogue sessions for language patterns that may indicate distress, self-harm, or crisis. When such patterns are detected, the system automatically notifies the Tenant's designated Instructor or Admin by email.
9.2 Critical limitation — not an emergency service
THE SAFEGUARDING SYSTEM IS NOT AN EMERGENCY SERVICE AND MUST NOT BE RELIED UPON AS ONE.
The automated system may produce false positives (flagging non-crisis content) and false negatives (failing to detect genuine distress). Alerts are sent to Instructors by email which may not be monitored in real time. Epistemika makes no guarantee as to the timeliness or reliability of safeguarding alerts.
Tenants who enrol Students who may be vulnerable must have their own safeguarding policies and procedures in place, independent of the Platform's automated system. If a Student expresses immediate danger to themselves or others, the appropriate response is to contact emergency services in the relevant jurisdiction.
9.3 Tenant safeguarding obligations
Tenants are responsible for:
- Designating at least one safeguarding lead who monitors the Instructor notification email address.
- Having a written safeguarding policy appropriate to their Student population.
- Training Instructors in appropriate responses to safeguarding alerts.
- Complying with mandatory reporting obligations in their jurisdiction when they receive a safeguarding alert.
9.4 No liability for missed alerts
To the maximum extent permitted by law, Epistemika shall not be liable for any harm resulting from a failure of the automated safeguarding detection system to identify, flag, or transmit a crisis alert, or from any delay in an Instructor responding to such an alert.
10. Student Data & Privacy
10.1 Data controller
With respect to the personal data of their Students, the Tenant acts as the Data Controller and Epistemika acts as the Data Processor. We process Student data only on the Tenant's documented instructions and in accordance with our Privacy Policy and any applicable Data Processing Agreement.
10.2 Data Processing Agreement
Tenants operating within the European Economic Area (EEA) or who process the data of EEA residents may request a formal Data Processing Agreement (DPA) by emailing drdennisprice@gmail.com. The DPA constitutes a binding amendment to these Terms.
10.3 Data residency
The Platform is hosted on Supabase (PostgreSQL) infrastructure using AWS data centres. Tenants requiring specific data residency should contact us before subscribing to confirm availability.
10.4 Dialogue session content
Student dialogue session content (messages, responses, evaluation results) is stored in the Platform database and is accessible to the Tenant's Instructors and Admins. Tenants must inform their Students of this in their own privacy notices.
10.5 Data deletion
Tenants may request deletion of all Student data for their school at any time. Upon account termination, Student data is deleted within 60 days. Individual Student deletion requests must be directed to the Tenant (as Data Controller), who may then instruct Epistemika to delete the relevant records.
11. Tenant Obligations
In addition to obligations stated elsewhere in these Terms, Tenants agree to:
- Provide Students with a clear and accurate privacy notice describing how their data is processed.
- Obtain all necessary consents before enrolling Students in courses.
- Maintain accurate and current contact information on their account.
- Ensure that courses designed on the Platform comply with applicable educational, consumer protection, and advertising laws in their jurisdiction.
- Not use the Platform to operate a school in a jurisdiction where doing so is prohibited or requires a licence they do not hold.
- Keep the Instructor notification email address actively monitored at all times Students may be using the Platform.
12. Intellectual Property
12.1 Platform IP
Epistemika retains all intellectual property rights in the Platform, including but not limited to the dialogue engine, course builder, analytics system, and all associated software. Nothing in these Terms grants you any rights to the Platform IP beyond the limited licence to use the Platform as described herein.
12.2 Tenant content
You retain ownership of all course content you create on the Platform, including dialogue node configurations, opening questions, pass conditions, and content injection material. You grant Epistemika a limited, non-exclusive licence to process, store, and transmit your content solely for the purpose of operating the Platform.
12.3 Feedback
If you provide feedback or suggestions about the Platform, you grant us an irrevocable, royalty-free licence to use that feedback without restriction or attribution.
12.4 Epistemika branding
You may not use the Epistemika name, logo, or branding in any way that implies endorsement, partnership, or affiliation without prior written consent.
13. Limitation of Liability
13.1 Exclusion of consequential loss
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EPISTEMIKA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFIT, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 Cap on direct liability
Our total aggregate liability to you for direct damages shall not exceed the greater of: (a) the total fees paid by you to Epistemika in the 3 months immediately preceding the event giving rise to the claim, or (b) $100 USD.
13.3 Essential basis
The limitations in this Section reflect a fair allocation of risk and are an essential element of the basis of the bargain between you and Epistemika. Epistemika would not have entered into these Terms without these limitations.
13.4 Consumer rights
Nothing in these Terms excludes liability that cannot be excluded under applicable consumer protection law, including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
14. Indemnification
You agree to indemnify, defend, and hold harmless Epistemika, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms.
- Your use of the Platform in violation of any applicable law.
- Any content you create or publish on the Platform.
- Your failure to obtain required consents from Students or guardians.
- Any claim brought by a Student against Epistemika arising from a Tenant's course, safeguarding failure, or data processing.
15. Termination
15.1 Termination by you
You may cancel your subscription at any time via your account dashboard or by contacting drdennisprice@gmail.com. Cancellation takes effect at the end of the current billing month. No refund is provided for the current month.
15.2 Termination by Epistemika
We may suspend or terminate your account immediately and without notice if you:
- Breach these Terms in a material way.
- Fail to pay amounts owed for more than 30 days.
- Are the subject of insolvency, bankruptcy, or similar proceedings.
- Use the Platform in a way that poses a risk to the safety of other users or to the Platform.
15.3 Effect of termination
On termination, your access to the Platform ceases. Student data is retained for 60 days during which you may request an export. After 60 days, all data associated with your school is permanently deleted.
16. GDPR & Data Processing
16.1 Lawful basis
Epistemika processes personal data of Tenants and their authorised users on the basis of contract (Article 6(1)(b) GDPR). Processing of Student data is conducted on behalf of the Tenant as Data Controller.
16.2 Sub-processors
We engage the following sub-processors to operate the Platform: Supabase (database and authentication), Anthropic (AI dialogue), Railway (hosting), Paddle (billing), Stripe (Tenant–Student payments), Inngest (background jobs), and Emailit (transactional email). An up-to-date sub-processor list is available on request.
16.3 Your rights
If you are in the EEA, you have the right to access, rectify, erase, restrict, and port your personal data, and to object to its processing. To exercise these rights, contact drdennisprice@gmail.com. We will respond within 30 days.
16.4 International transfers
Your data may be transferred to and processed in countries outside the EEA by our sub-processors. Where such transfers occur, we ensure appropriate safeguards (such as Standard Contractual Clauses) are in place.
17. Governing Law & Disputes
17.1 Governing law
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to conflict of law principles.
17.2 Dispute resolution
We encourage you to contact us first at drdennisprice@gmail.com to resolve any dispute informally. If we cannot resolve a dispute within 30 days, either party may refer the matter to the courts of New South Wales, Australia, which shall have exclusive jurisdiction, subject to any mandatory consumer protection rights you may hold under the law of your country of residence.
17.3 Class action waiver
To the extent permitted by law, you waive any right to bring claims against Epistemika as a plaintiff or class member in any purported class, collective, or representative action.
18. Changes to These Terms
We may update these Terms from time to time. We will notify Tenant account holders by email at least 30 days before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance. If you do not agree with the changes, you may cancel your subscription before the effective date without penalty.
